§ 01 Parties

Who we are and what this agreement covers.

These Terms of Service (the “Terms”) form a binding agreement between you (“you”, “your”, “User”) and Reelcycler (“Reelcycler”, “we”, “us”, “our”) governing your access to and use of the Reelcycler website at reelcycler.com, the Reelcycler mobile applications for iOS and Android, and the Reelcycler API (collectively, the “Service”).

By creating an account, clicking “I agree”, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

§ 02 The Service

What the Service does.

Reelcycler is a publishing tool. You upload a single short-form vertical video and a caption; Reelcycler, acting on your instruction, publishes that video and caption to the third-party social platforms you have connected to your Reelcycler account — currently Instagram (via the Meta Graph API), YouTube (via the YouTube Data API v3), and TikTok (via the TikTok Content Posting API) (each a “Platform”).

Reelcycler does not edit your video, does not modify your caption beyond the platform-specific transformations described in our product documentation (for example, deriving a YouTube video title from the first portion of your caption), and does not post content on your behalf except when you explicitly initiate a publish action in the Service.

§ 03 Eligibility

Eligibility and accounts.

You must be at least 18 years old, or the age of majority in your jurisdiction (whichever is higher), to use the Service. By using the Service you represent that you meet this requirement.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly at hello@reelcycler.com of any suspected unauthorized use of your account.

You may not create an account for, or use the Service on behalf of, any third party without that party’s authorization, and you may not use the Service to publish to a Platform account that you are not authorized to operate.

§ 04 Platform connections

Connecting Platform accounts.

To publish through Reelcycler you must connect one or more Platform accounts via the relevant OAuth flow. By connecting a Platform account you authorize Reelcycler to use the access tokens issued by that Platform solely to perform the publishing actions you initiate in the Service, to refresh those tokens when they expire, and to read the minimum metadata (such as account handle and account type) required to display your connections to you and to validate publish eligibility.

You may revoke this authorization at any time by disconnecting the account inside Reelcycler or by revoking access in the Platform’s account settings. Disconnecting an account stops future publishes from Reelcycler to that account; it does not remove content that has already been published to the Platform.

Your use of each Platform through Reelcycler is also governed by that Platform’s own terms of service and developer policies, including:

  • Instagram and Meta Platform Terms and the Instagram Terms of Use
  • YouTube Terms of Service and the Google API Services User Data Policy
  • TikTok Terms of Service and the TikTok for Developers Terms of Service

You are responsible for complying with each Platform’s terms when you publish through Reelcycler. We may suspend or remove your access to publish to a Platform if a Platform requires us to do so or if your use violates that Platform’s terms.

§ 05 Your content

Your content stays yours.

You retain all rights in the video, caption, and other content you upload or transmit through the Service (“Your Content”). Reelcycler claims no ownership of Your Content.

To operate the Service, you grant Reelcycler a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, and transmit on your behalf Your Content for the limited purpose of (a) storing it on our infrastructure (currently Amazon S3 in us-west-2) so it can be re-uploaded to the Platforms you select, (b) re-uploading Your Content and caption to each Platform you select at the time you initiate a publish, and (c) retrying a publish you have initiated when a Platform call fails for transient reasons. This license terminates when you delete the corresponding Post in Reelcycler or close your account, except to the extent we are required to retain copies for legal, regulatory, or backup-rotation purposes.

You represent and warrant that Your Content does not infringe any third party’s rights, including intellectual-property rights, publicity and privacy rights, and rights in any music, footage, or other material embedded in your video, and that you have all necessary rights and consents to upload Your Content and to authorize Reelcycler to publish it to each Platform you select.

§ 06 Acceptable use

Acceptable use.

You agree not to use the Service to upload, transmit, or publish any content that:

  • is illegal under applicable law;
  • infringes any intellectual-property, publicity, or privacy right;
  • contains sexual content involving minors, non-consensual intimate imagery, or other content prohibited by any connected Platform;
  • promotes terrorism, incites violence, or constitutes hate speech as defined by any connected Platform’s policies;
  • contains malware, scraping payloads, or anything designed to interfere with the Service or any Platform; or
  • violates the published community guidelines or developer policies of any connected Platform.

You also agree not to (a) reverse engineer, decompile, or attempt to extract source code from the Service, (b) interfere with or disrupt the Service’s integrity or performance, (c) attempt to gain access to the Service, accounts, or systems you are not authorized to access, (d) use the Service to send unsolicited bulk content, or (e) resell the Service or expose it as a competing API without our prior written consent.

We may remove content from Reelcycler, suspend publishing, or terminate your account if we believe in good faith that you have violated this Section 6 or that a Platform requires us to act.

§ 07 Billing & trial

Subscriptions, free trial, billing.

The Service is offered on a paid subscription basis, with the following plans gated on monthly publish volume:

  • Starter — up to 30 Posts per month
  • Pro — up to 150 Posts per month
  • Studio — unlimited Posts per month

Plan prices are displayed in Stripe Checkout at the time of purchase and may change with notice as set out below. A “Post” is counted once at creation against your monthly cap regardless of how many Platforms you publish to or whether any individual Platform publish succeeds. Manual or automatic retries of a failed Platform publish do not count against your cap.

§ 7.1Free trial

When you start a subscription you may be offered a 7-day free trial. You will be asked to provide a valid payment method at the start of the trial through Stripe Checkout. The trial runs on the plan you select at Checkout. Unless you cancel before the trial ends, your subscription will automatically convert to a paid subscription on the plan you selected and your payment method will be charged the then-current price for that plan.

§ 7.2Recurring billing

Subscriptions renew automatically at the end of each billing period (monthly or annual, as selected at Checkout) until canceled. By subscribing you authorize Reelcycler, through our payment processor Stripe, to charge your payment method the recurring fee for the plan you have selected, plus any applicable taxes, at the start of each new billing period.

§ 7.3Plan changes

You may change your plan at any time through the Stripe Customer Portal. Plan changes use Stripe’s default proration: an upgrade takes effect immediately and is prorated for the remainder of the current period; a downgrade also takes effect immediately and applies a prorated credit toward future invoices.

§ 7.4Cancellation

You may cancel your subscription at any time through the Stripe Customer Portal. Cancellation stops future renewals; you will retain access to the Service through the end of the period you have already paid for, after which your account will revert to a non-publishing state.

§ 7.5Refunds

Except where required by applicable law (including, for EU and UK consumers, statutory withdrawal rights), subscription fees are non-refundable, and Reelcycler does not provide refunds or credits for partial subscription periods, unused publish capacity, or downgrades within a period beyond the proration applied by Stripe.

§ 7.6Taxes

Stated prices do not include taxes. You are responsible for any sales, value-added, or similar taxes imposed on your purchase, which Stripe may collect on our behalf where required.

§ 7.7Price changes

We may change subscription prices. We will give you at least 30 days’ notice by email before any price change takes effect for you, and the new price will apply at the start of your next billing period unless you cancel before then.

§ 08 App stores

Apple App Store and Google Play.

If you obtained the Reelcycler mobile application from the Apple App Store or Google Play, additional terms apply between you and Apple or Google. Subscriptions purchased through Reelcycler are processed by Stripe through the web, not as in-app purchases. The Reelcycler mobile application does not collect payment inside the app and opens the system browser for billing actions.

For the avoidance of doubt and to satisfy Apple’s licensed-application terms: (a) these Terms are between you and Reelcycler, not Apple or Google; (b) Apple and Google are not responsible for the Service or for any claim relating to it; (c) Apple’s and Google’s maintenance and support obligations do not apply to the Service; and (d) Apple and Google are third-party beneficiaries of these Terms solely with respect to the application distributed through their respective stores.

§ 09 Availability

Service availability and changes.

We try to keep the Service available and reliable but do not guarantee uninterrupted access. Publishing depends on the Platforms’ APIs, which are operated by third parties and may be unavailable, rate-limited, or change without notice. We may add, modify, or remove features of the Service, including dropping support for a Platform if its API or terms make continued integration impractical. We will give reasonable notice of material adverse changes.

§ 10 Termination

Suspension and termination.

You may terminate these Terms at any time by canceling your subscription and closing your account.

We may suspend or terminate your access to the Service, in whole or in part, if (a) you breach these Terms, (b) your payment method is declined and not cured within a reasonable period, (c) a Platform requires us to do so, (d) we reasonably believe your use of the Service exposes Reelcycler or a Platform to legal, regulatory, or security risk, or (e) we discontinue the Service. Where circumstances allow, we will give you notice and an opportunity to cure.

On termination, your right to use the Service ends. We will delete your account data on the schedule described in our Privacy Policy, subject to any legal-retention obligations.

§ 11 Disclaimers

Disclaimers.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. WITHOUT LIMITING THE FOREGOING, REELCYCLER DOES NOT WARRANT THAT (A) PUBLISHES WILL COMPLETE SUCCESSFULLY ON ANY PLATFORM, (B) ANY PLATFORM WILL ACCEPT, RANK, OR DISTRIBUTE YOUR CONTENT, OR (C) THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

§ 12 Liability

Limitation of liability.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL REELCYCLER OR ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR FOLLOWERS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF REELCYCLER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

REELCYCLER’S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO REELCYCLER FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS (USD 100).

The limitations in this Section 12 apply to the maximum extent permitted by law and do not limit liability that cannot be limited under applicable law (for example, liability for fraud or for death or personal injury caused by negligence).

§ 13 Indemnification

Indemnification.

You agree to defend, indemnify, and hold harmless Reelcycler and its officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or relating to (a) Your Content, (b) your use of the Service in violation of these Terms or applicable law, or (c) your violation of any Platform’s terms in connection with your use of the Service.

§ 14 Governing law

Governing law and dispute resolution.

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. You and Reelcycler agree to submit to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California, for any dispute arising out of or relating to these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction. Nothing in this Section overrides mandatory consumer-protection rights you may have in your jurisdiction.

Counsel to review appropriate governing law, venue, and arbitration/class-waiver language for the operating entity and for EU/UK consumer protections.
§ 15 Changes

Changes to these Terms.

We may update these Terms from time to time. If we make material changes, we will notify you by email or by an in-product notice at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of them. If you do not agree to the updated Terms, you must stop using the Service before they take effect.

§ 16 Miscellaneous

Miscellaneous.

These Terms, together with the Privacy Policy and any order form or plan-specific terms we agree with you in writing, are the entire agreement between you and Reelcycler regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets. There are no third-party beneficiaries except as expressly stated in Section 8.
